1. INTRODUCTION
Welcome to Cence, a platform that displays short-form posts from third-party merchants promoting their products and services (the "Platform"). These Terms and Conditions ("Terms") govern your access to and use of the Platform (including our app and website). By downloading, accessing or using the Platform, you agree to these Terms.
2. DEFINITIONS
In these Terms, the following definitions apply:
- "Cence", "we", "us", or "our" means Cence and its subsidiaries, affiliates, officers, directors, employees, agents, and representatives.
- "User", "you", or "your" means any individual who downloads, accesses, or uses the Platform.
- "Content" means all information, text, data, graphics, images, recommendations, and other materials included in or made available through the Platform.
- "Merchant" means a third-party business that publishes posts or offers on the Platform.
- "Offer" means a promotion, discount, price, bundle or other incentive published by a Merchant.
- "Platform" means the Cence mobile application and website that display short-form posts from third-party merchants promoting their products, services and Offers.
- "Post" means any short-form video, image, caption, tag or link published on the Platform.
- "Student Account" means a user account held by an individual who is a university student aged 18 or over.
3. SERVICE DESCRIPTION
The Platform is a short-form content feed where Merchants promote their products and services through Posts and Offers. We use automated systems and signals to organise and recommend content to you. We do not set prices, control stock or provide after-sales support. If you buy a product or service after viewing a Post, your contract is with the Merchant, not with us. We do not guarantee that any price, availability or promotion displayed in a Post will remain available at the time you view or redeem it. We may change, suspend or withdraw features of the Platform at any time without liability.
4. ELIGIBILITY
You must be at least 18 years old and have legal capacity to agree to these Terms. By using the Platform, you confirm this.
Student Accounts are only available to users aged 18+ who can provide acceptable proof of current university enrolment through our verification process.
5. ACCOUNT REGISTRATION
5.1 Account Creation
To use certain features of the Platform, you may need to register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.
5.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised access or breach of security.
5.3 Acceptance of Updates
We may update these Terms as described in Section 13 (Modifications to Terms). We will notify you in-app or by email at least 7 days before the new terms take effect and will note the effective date and version. Your continued use after the effective date means you accept the updated Terms. We keep a version history in-app.
6. PLATFORM USAGE
6.1 Licence
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial use.
6.2 Prohibited Activities
You agree you will not: (a) use the Platform unlawfully or in violation of applicable UAE laws; (b) scrape, harvest, bulk-download, reverse engineer or circumvent technical protections; (c) create multiple accounts to evade restrictions; (d) impersonate any person or misrepresent eligibility (including claiming Student status without verification); (e) upload malware or attempt to interfere with security or operation; (f) send unsolicited promotions or harvest users' contact details; (g) post content that is unlawful, misleading or infringes others' rights; or (h) artificially inflate or manipulate views, likes, clicks, saves or other engagement.
7. RECOMMENDATIONS AND DELIVERY
7.1 Content Ranking and Delivery
We use automated systems and signals (for example, your activity and device settings) to rank and recommend Posts. We do not guarantee that any Post will be shown to you, or that any Offer or price displayed in a Post will remain available. See 'Offers from Merchants' for redemption terms.
7.2 Informational Nature of Recommendations
The feed, rankings and in-app summaries are generated using automated systems and models. They may include estimates and may contain errors or omissions, and may change without notice. We do not undertake to provide them continuously or to update them on any particular cadence.
8. OFFERS FROM MERCHANTS
8.1 General
Merchants create and publish Offers. We do not guarantee price, quality, stock, eligibility windows, delivery or after-sales support. Always check the Merchant's terms before you buy. If you have questions, claims or returns, contact the Merchant. Nothing in the Platform is an endorsement or recommendation by us.
8.2 Paid Promotions
Some Posts are paid promotions or include affiliate relationships. Such content will be labelled in the app. Information in Posts and on the Platform is for general information only. We do not provide financial, legal or tax advice, and nothing on the Platform is a recommendation or an offer/solicitation to buy or sell any product or service.
8.3 Redemption Mechanics
If an Offer requires a code, link, scan or checkout steps, follow the instructions shown in-app. Offers may be time- or geo-limited and may change without notice.
8.4 Student Accounts
Certain Offers may be limited to Student Accounts (university students aged 18+). Verification steps and accepted proofs will be shown in-app, and we may request periodic re-verification. Misuse may result in removal of the student badge, refusal of the Offer and suspension of your account.
9. CONTENT AND INTELLECTUAL PROPERTY
9.1 Ownership
The Platform and all Content, features, and functionality, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by Cence, its licensors, or other providers of such material and are protected by copyright, trade mark, patent, trade secret, and other intellectual property or proprietary rights laws under UAE and international conventions.
9.2 User Contributions
When you post or interact on the Platform (including comments, reviews, likes and saves), you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, transcode, display and distribute that content in connection with the Platform and our marketing. You promise you own or have the rights to everything you post.
9.3 Content Monitoring
We do not control the content posted by users of the Platform and, as such, do not guarantee the accuracy, integrity, or quality of such content. You understand that by using the Platform, you may be exposed to content that is offensive, indecent, or objectionable. We reserve the right, but not the obligation, to monitor, edit, or remove any content that violates these Terms or that is otherwise objectionable.
10. GEOLOCATION SERVICES
10.1 Location Data
The Platform may request access to your device's location services to show nearby Offers and relevant content. You can disable location services in your device settings; some features may not work without them. If enabled, we will process location data as described in our Privacy Policy, and you can withdraw consent at any time via your settings.
10.2 Consent to Location Tracking
By enabling location services for the Platform, you consent to the collection, use, and sharing of your location data as described in our Privacy Policy. You may revoke this consent at any time by disabling location services for the Platform through your device settings.
11. THIRD-PARTY LINKS AND SERVICES
The Platform may contain links to third-party websites, services, or content that are not owned or controlled by Cence. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Cence shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
12. LIMITATION OF LIABILITY
12.1 Disclaimer of Warranties
The Platform and Content are provided "as is". We do not warrant uninterrupted or error-free operation, or the accuracy or availability of any Offer.
12.2 Limitation of Liability
We are not responsible for Merchants' products, services, prices, stock, delivery or after-sales support. To the maximum extent permitted by law, we exclude all implied warranties and will not be liable for loss of profits, revenues, data, goodwill or any indirect or consequential loss. Nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot be limited or excluded under applicable law. Our total liability to you arising out of or in connection with the Platform will not exceed AED 500.
12.3 Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.
12.4 No financial, legal or tax advice; no fiduciary duty.
We are not authorised to provide, and do not provide, financial services or investment, legal or tax advice. Nothing on the Platform (including Posts, Offers, recommendations or in-app summaries) constitutes advice, a recommendation, an offer or a solicitation to buy or sell any product or service, nor an assessment of suitability or appropriateness. You remain solely responsible for your decisions and for compliance with applicable law. You should obtain independent professional advice where appropriate. We owe you no fiduciary, advisory or similar duty in connection with the Platform.
12.5 Reliance on Platform/AI outputs.
Without limiting the exclusions and cap above, we are not liable for any loss, damage, cost or expense arising from any decision or action taken (or not taken) by you in reliance on the Platform, any Post or Offer, our recommendations or rankings, or any automated or AI-generated output.
13. MODIFICATIONS TO TERMS
We may update these Terms to reflect new features, legal requirements or business needs. We will notify you in-app or by email at least 7 days before changes take effect. The revised Terms will state the effective date. If you continue to use the Platform after that date, you agree to the revised Terms.
14. TERMINATION
14.1 Termination by You
You may stop using the Platform at any time and may deactivate your account by following the instructions on the Platform or by contacting us.
14.2 Termination by Us
We may suspend or terminate your account immediately if you breach these Terms, including repeated violations, manipulation of engagement, abuse of Offers or misrepresentation of Student eligibility.
14.3 Effect of Termination
Upon termination, your right to use the Platform will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, disclaimers and limitations of liability.
15. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC). The DIFC Courts have exclusive jurisdiction.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms constitute the entire agreement between you and Cence regarding the Platform and supersede all prior and contemporaneous written or oral agreements, communications, and other understandings relating to the subject matter of these Terms.
16.2 Waiver and Severability
No waiver by Cence of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Cence to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
16.3 Assignment
These Terms and any rights and licences granted hereunder may not be transferred or assigned by you, but may be assigned by Cence without restriction.
16.4 Force Majeure
Cence shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, pandemics, government actions, natural disasters, or changes in laws or regulations.
