1. INTRODUCTION
Welcome to Cence, a mobile application providing information about credit card benefits and rewards in the UAE market. These Terms and Conditions ("Terms") govern your access to and use of the Cence mobile application, website, and any related services (collectively, the "Platform").
Please read these Terms carefully before using our Platform. By downloading, accessing, registering, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.
2. DEFINITIONS
In these Terms, the following definitions apply:
"Cence", "we", "us", or "our" means Cence Portal LLC and its subsidiaries, affiliates, officers, directors, employees, agents, and representatives.
"Platform" means the Cence mobile application and website that provides information about credit card benefits and rewards.
"User", "you", or "your" means any individual who downloads, accesses, or uses the Platform.
"Content" means all information, text, data, graphics, images, recommendations, and other materials included in or made available through the Platform.
"Credit Card Information" means the information about credit cards, their benefits, rewards, offers, and features that is made available through the Platform.
3. ELIGIBILITY
You must be at least 21 years old to use the Platform. By using the Platform, you represent and warrant that you are at least 21 years old and have the legal capacity to enter into these Terms.
4. ACCOUNT REGISTRATION
4.1 Account Creation
To use certain features of the Platform, you may need to register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.\
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or breach of security.
5. PLATFORM USAGE
5.1 License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use.
5.2 Prohibited Activities
You agree not to:
◉ use the Platform for any illegal purpose or in violation of UAE laws, including the UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021). Prohibited activities include, but are not limited to, hacking, phishing, or spreading malicious software.
◉ Violate or encourage others to violate the rights of third parties, including intellectual property rights
Interfere with or disrupt the operation of the Platform or the servers or networks used to make the Platform available
◉ Attempt to gain unauthorized access to any portion of the Platform or any other accounts, computer systems, or networks connected to the Platform
◉ Use any automated means to access the Platform or collect any information from the Platform
◉ Impersonate or attempt to impersonate Cence, a Cence employee, another user, or any other person or entity
◉ Use the Platform in any manner that could disable, overburden, damage, or impair the Platform
◉ Upload, transmit, or distribute any computer viruses, worms, or any software intended to damage or alter a computer system or data
◉ Use the Platform to send unsolicited or unauthorized advertising or promotional materials
◉ Harvest or collect email addresses or other contact information of other users from the Platform
◉ Create multiple accounts to evade punishment or restrictions
6. CONTENT AND INTELLECTUAL PROPERTY
6.1 Ownership
The Platform and all Content, features, and functionality, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by Cence, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws under UAE and international conventions.
The Platform and all its content, including logos, trademarks, and software, are owned by Cence or its licensors. You may not use, reproduce, or distribute any intellectual property of Cence without prior written consent.
6.2 User Contributions
The Platform may contain features that allow users to post, submit, publish, display, or transmit content or materials on or through the Platform. Any content you post to the Platform will be considered non-confidential and non-proprietary. By providing any content on the Platform, you grant us and our affiliates and service providers a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content.
6.3 Content Monitoring
We do not control the content posted by users of the Platform and, as such, do not guarantee the accuracy, integrity, or quality of such content. You understand that by using the Platform, you may be exposed to content that is offensive, indecent, or objectionable. We reserve the right, but not the obligation, to monitor, edit, or remove any content that violates these Terms or that is otherwise objectionable.
7. DISCLAIMER OF FINANCIAL ADVICE
7.1 Informational Purposes Only
The Platform provides information about credit card benefits and rewards for general informational purposes only. Cence is not a financial advisor, and the use of the Platform does not create a financial advisor-client relationship. Always consult a qualified financial advisor before making financial decisions.
7.2 No Financial Advisor Relationship
Cence is not a financial advisor, banking institution, credit card issuer, or regulated financial services provider under UAE law. The use of the Platform does not create a financial advisor-client relationship. Before making any financial decisions, you should consult with a qualified financial advisor and review the official terms and conditions provided by the financial institutions.
7.3 Accuracy of Information
While we strive to provide accurate and up-to-date information, we make no representations or warranties about the accuracy, reliability, completeness, or timeliness of the Content. Credit card terms, conditions, benefits, and rewards can change at any time at the discretion of the card issuers, and Cence is not responsible for updating or ensuring the accuracy of such information.
8. GEOLOCATION SERVICES
8.1 Location Data
The Platform may request access to your device's location services to provide location-based card recommendations and features. You can enable or disable location services through your device settings. If you choose to disable location services, certain features of the Platform may not be available.
8.2 Consent to Location Tracking
By enabling location services for the Platform, you consent to the collection, use, and sharing of your location data as described in our Privacy Policy. You may revoke this consent at any time by disabling location services for the Platform through your device settings.
9. THIRD-PARTY LINKS AND SERVICES
9.1 Third-Party Links
The Platform may contain links to third-party websites, services, or content that are not owned or controlled by Cence. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Cence shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
9.2 Credit Card Issuers
We are not affiliated with, endorsed by, or in any way connected to any credit card issuers featured on the Platform unless explicitly stated. All credit card names, logos, and brands are property of their respective owners. These companies do not sponsor or endorse Cence or its services.
10. LIMITATION OF LIABILITY
10.1 Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CENCE DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE UAE LAW, IN NO EVENT SHALL CENCE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
10.3 Cap on Liability
To the fullest extent permitted by UAE law, Cence's liability is limited to AED 500. However, this limitation does not affect any statutory rights you may have under UAE consumer protection laws.
10.4 Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Cence, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Contributions, any use of the Content, services, or products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.
12. MODIFICATIONS TO THE PLATFORM AND TERMS
12.1 Platform Modifications
We reserve the right to modify, suspend, or discontinue the Platform or any part of it, temporarily or permanently, with or without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Platform.
12.2 Terms Modifications
We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
13. TERMINATION
13.1 Termination by You
You may stop using the Platform at any time and may deactivate your account by following the instructions on the Platform or by contacting us.
13.2 Termination by Us
We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
13.3 Effect of Termination
Upon termination, your right to use the Platform will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the courts of the UAE.
15. GENERAL PROVISIONS
15.1 Entire Agreement
These Terms constitute the entire agreement between you and Cence regarding the Platform and supersede all prior and contemporaneous written or oral agreements, communications, and other understandings relating to the subject matter of these Terms.
15.2 Waiver and Severability
No waiver by Cence of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Cence to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
15.3 Assignment
These Terms and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Cence without restriction.
15.4 Force Majeure
Cence shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, pandemics, government actions, natural disasters, or changes in laws or regulations.
